Broker Alert: Keith Craig Baron Barred After Misrepresentations in $359,000 Oil & Gas Investment Scheme

FINRA has barred Keith Craig Baron (CRD #3231494) following findings that he made material misrepresentations to investors and failed to disclose significant conflicts of interest tied to an outside investment.

According to FINRA, Baron solicited an elderly couple to invest approximately $359,806 in a company purportedly engaged in acquiring oil and gas leases. He allegedly represented the investment as “guaranteed” and told investors the value would double within three months—claims that were not supported by the underlying investment (FINRA Disciplinary Actions).

Critically, Baron failed to disclose that he had a consulting agreement with the company paying him $10,000 per month, despite the company generating no revenue. Following the investors’ purchases, Baron received approximately $284,890 in compensation, creating a significant undisclosed conflict of interest (FINRA Disciplinary Actions).

The transactions were not executed through his member firm. FINRA found that Baron engaged in private securities transactions (“selling away”) without approval, while also failing to disclose his outside business activity in required compliance filings. He further made misrepresentations to both his firm and regulators regarding his involvement in the investment (FINRA Disciplinary Actions).

What This Means for Investors

This case reflects a common pattern seen in investor claims:

When financial professionals operate outside firm supervision and fail to disclose conflicts, investors may be exposed to substantial and avoidable losses.

Takeaway

Investments described as “guaranteed” or promising rapid returns should be carefully scrutinized—particularly when they involve private or unregistered offerings.

Investors who suffered losses in connection with Keith Craig Baron or similar oil and gas or private investment recommendations may have recovery options through FINRA arbitration or other legal claims.
